VENDORAR Marketplace Governance

Vendor Agreement

The standards, responsibilities and commercial terms governing businesses that sell products or services through the VENDORAR marketplace.

Effective date: 20 September 2026

Important notice

By registering, activating or operating a vendor account on VENDORAR, you confirm that you have read, understood and agreed to this Vendor Agreement and all incorporated marketplace policies.

1. Parties and scope

This Vendor Agreement is between VENDORAR GLOBAL COMMERCE LIMITED, referred to as “VENDORAR”, “we”, “our” or “us”, and the individual, business or organisation approved to operate a vendor account, referred to as the “Vendor”, “you” or “your”.

This Agreement applies to every product, service, storefront, microstore, subdomain, custom domain, order and transaction managed through the VENDORAR marketplace.

2. Vendor eligibility and authority

You must possess the legal capacity and authority required to enter into this Agreement. If registering for a company, partnership or organisation, you represent that you are authorised to bind that entity.

VENDORAR may request identity, address, business-registration, bank-account, tax, beneficial-ownership or other verification information before approving, activating or continuing a vendor account.

3. Account information and security

You must provide accurate, complete and current information and promptly update any material change. You are responsible for protecting your login credentials and for activity performed through your account.

Suspected unauthorised access, fraud, credential compromise or account misuse must be reported immediately through VENDORAR support.

4. Vendor plans, commissions and charges

Your available features, product limits, commissions, subscription charges, storefront options and related benefits depend on the vendor plan selected or assigned to your account.

Current pricing and plan benefits displayed by VENDORAR form part of this Agreement. Unless required by law or expressly stated otherwise, subscription fees are charged according to the selected billing period.

VENDORAR may deduct applicable commissions, transaction charges, refunds, reversals, taxes, penalties or other properly disclosed amounts from vendor balances and payouts.

5. Product and service listings

Every listing must be truthful, lawful, accurate and sufficiently detailed. Titles, descriptions, images, specifications, prices, availability, warranties and delivery information must not mislead customers.

You may only upload content and sell products or services for which you hold all necessary ownership, distribution, licensing or commercial rights.

Counterfeit goods, stolen property, unsafe products, deceptive listings and items prohibited by law or VENDORAR policy are forbidden.

6. Pricing and inventory

You are responsible for maintaining accurate prices, taxes, stock quantities and availability. Artificial pricing, fake discounts, price manipulation and misleading promotional claims are prohibited.

If an item becomes unavailable after purchase, you must notify VENDORAR and the customer promptly and cooperate with the cancellation or refund process.

7. Orders and fulfilment

You must process accepted orders within the stated handling time and deliver the correct products or services in the condition and timeframe promised.

You are responsible for appropriate packaging, shipping documentation, tracking information and compliance with applicable customs, import, export and transportation rules.

Repeated late fulfilment, avoidable cancellations, false tracking or failure to deliver may result in account restrictions, withheld payouts, suspension or termination.

8. Payments, escrow and payouts

Customer payments may be processed through VENDORAR-approved payment providers. Funds may be held temporarily to support fraud prevention, order completion, customer protection, disputes, refunds and chargeback management.

Payout timing may depend on transaction value, product type, delivery confirmation, risk assessment, account standing and the applicable escrow or payout policy.

You authorise VENDORAR to withhold or offset funds reasonably required to address refunds, disputes, chargebacks, suspected fraud, policy violations or legal obligations.

9. Returns, refunds and customer service

You must comply with the published return, refund, exchange, warranty and customer-protection policies, together with applicable consumer-protection law.

You must respond professionally and promptly to customer messages, complaints, return requests and dispute enquiries.

10. Vendor conduct

You must not manipulate reviews, create fraudulent orders, divert marketplace transactions to avoid charges, misuse customer information, impersonate another party or interfere with VENDORAR systems.

Harassment, discrimination, abusive communication, bribery, corruption, money laundering and other unlawful conduct are prohibited.

11. Intellectual property

You retain ownership of your lawful vendor content. You grant VENDORAR a worldwide, non-exclusive, royalty-free licence to host, reproduce, format, translate, display, distribute and promote that content for operating and marketing the marketplace.

You must not infringe trademarks, copyrights, patents, designs, personality rights or other intellectual-property rights belonging to another party.

12. Customer data and privacy

Customer information may only be used to fulfil authorised transactions, provide customer service and comply with legal obligations. It must not be sold, disclosed, harvested or used for unauthorised marketing.

You must maintain reasonable organisational and technical safeguards against unauthorised access, loss, alteration or disclosure of personal data.

13. Monitoring and enforcement

VENDORAR may review listings, transactions, communications, fulfilment records and account activity to enforce marketplace policies, protect users and comply with legal obligations.

Where reasonably necessary, VENDORAR may remove listings, limit features, place reserves, delay payouts, suspend accounts, cancel transactions or terminate access.

14. Taxes and regulatory compliance

You are responsible for identifying, collecting, reporting and paying taxes, duties, levies, licences and regulatory charges applicable to your business, products, services and income, except where VENDORAR is legally required to perform those obligations.

15. Liability and indemnity

You remain responsible for your products, services, representations, regulatory compliance and interactions with customers. To the extent permitted by law, you agree to indemnify VENDORAR against claims, losses and reasonable costs arising from your breach, unlawful conduct, defective products or infringement of third-party rights.

16. Termination

You may request account closure after completing outstanding orders and resolving balances, refunds and disputes. VENDORAR may suspend or terminate an account for material breach, fraud, unlawful conduct, persistent poor performance or risk to marketplace users.

Obligations concerning payments, disputes, confidentiality, intellectual property, liability and data protection survive termination where applicable.

17. Changes to this Agreement

VENDORAR may update this Agreement to reflect operational, commercial, legal or regulatory changes. Material updates will be communicated through appropriate marketplace channels. Continued use after an update becomes effective constitutes acceptance where permitted by law.

18. Governing law and dispute resolution

This Agreement is governed by the laws of the Federal Republic of Nigeria, without preventing VENDORAR from applying mandatory consumer, privacy or commercial laws in other jurisdictions where required.

Parties should first attempt to resolve disagreements through good-faith internal resolution before commencing formal proceedings.

19. Contact

Questions regarding this Agreement may be sent to legal@vendorar.com or submitted through the VENDORAR contact and support channels.

VENDORAR GUIDE

The operating foundation for responsible vendors

The Vendor Agreement sets the commercial and conduct expectations for businesses that sell through VENDORAR. It complements the policies on verification, prohibited products, intellectual property, payments, disputes and acceptable use.

Account eligibility and responsibility

A vendor must provide accurate registration, ownership, contact, banking and verification information and keep it current. The person accepting the agreement confirms authority to bind the vendor and remains responsible for authorised account users.

Credentials must be protected, and suspected compromise should be reported promptly. VENDORAR may request updated documents or additional review when risk, law, product category or payment activity reasonably requires it.

Listings, orders and customers

Listings must accurately identify the product, condition, price, availability, origin where relevant and important restrictions. Vendors must hold the rights and approvals required to sell and advertise their products and must not manipulate search, reviews or customer decisions.

Confirmed orders should be processed within the promised timeframe. Vendors are responsible for lawful packaging, fulfilment, customer communication, warranties and remedies applicable to their products. Customer information may be used only to fulfil the transaction and related legal obligations.

Fees, payouts and enforcement

Applicable commissions, service fees, taxes, reserves, deductions and payout schedules are shown in vendor materials or agreed terms. Amounts may be withheld or adjusted for refunds, chargebacks, disputes, fraud risk, legal process or amounts owed to VENDORAR.

Policy breaches can result in listing removal, payment reserve, feature restriction, suspension or termination, proportionate to risk and history. Serious illegal, unsafe, fraudulent or repeat conduct may require immediate action and cooperation with affected parties or authorities.
