VENDORAR Vendor Terms and Conditions

Please read these Vendor Terms and Conditions ("Terms", "Vendor Terms", or "Agreement") carefully before registering, listing products, selling products, or using the vendor services available through VENDORAR (the "Platform"), operated by VENDORAR ("VENDORAR", "Company", "we", "us", or "our").

By creating a vendor account, listing products, subscribing to a vendor plan, or otherwise accessing or using the Platform as a vendor, merchant, supplier, manufacturer, distributor, wholesaler, retailer, or service provider ("Vendor", "you", or "your"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to any part of these Terms, you may not register as a Vendor or use the Vendor Services.

Vendor Registration

To access Vendor Services, you may be required to provide certain information including, but not limited to, your name, business information, contact details, identification documents, tax information, banking details, and any other information reasonably requested by VENDORAR.

You represent and warrant that all information provided is accurate, complete, current, and truthful.

VENDORAR reserves the right to approve, reject, suspend, or terminate any Vendor application at its sole discretion.

Vendor Responsibilities

As a Vendor, you are solely responsible for:

• The accuracy of your listings.
• Product quality and compliance.
• Product pricing.
• Inventory management.
• Order fulfillment.
• Customer communications.
• Compliance with applicable laws and regulations.

You agree not to engage in fraudulent, deceptive, misleading, or unlawful conduct.

Products and Listings

Vendors may list products and services for sale through the Platform subject to VENDORAR policies.

All listings must accurately describe the product or service being offered.

VENDORAR reserves the right to edit, suspend, reject, remove, or disable any listing that violates applicable laws, Platform policies, intellectual property rights, or marketplace standards.

Fees, Commissions and Subscriptions

Certain Vendor Services may be subject to subscription fees, transaction fees, commissions, promotional fees, advertising fees, or other charges.

Applicable fees shall be disclosed within the Platform and may be amended from time to time.

By using paid Vendor Services, you authorize VENDORAR to collect applicable fees in accordance with your selected vendor plan and marketplace policies.

Orders and Fulfillment

Vendors are responsible for processing, fulfilling, shipping, and delivering customer orders in accordance with the timelines stated in their listings.

Repeated fulfillment failures, excessive cancellations, customer complaints, or policy violations may result in restrictions, suspension, or termination of Vendor privileges.

Payments and Payouts

Vendor earnings shall be calculated based on completed transactions, applicable commissions, fees, refunds, chargebacks, disputes, and marketplace adjustments.

VENDORAR reserves the right to temporarily withhold, review, delay, or adjust payouts where fraud, security concerns, legal requirements, disputes, investigations, or policy violations are suspected.

Intellectual Property

The Vendor retains ownership of its trademarks, logos, product content, and intellectual property.

By submitting content to the Platform, the Vendor grants VENDORAR a worldwide, non-exclusive, royalty-free license to display, reproduce, distribute, market, promote, and use such content for Platform operations, advertising, and business purposes.

Prohibited Activities

Vendors shall not:

• Sell counterfeit products.
• Sell illegal or prohibited products.
• Manipulate reviews or ratings.
• Circumvent marketplace fees.
• Infringe intellectual property rights.
• Misrepresent products or services.
• Engage in fraudulent activities.
• Interfere with Platform operations.

Violations may result in immediate enforcement actions.

Suspension and Termination

VENDORAR reserves the right, at its sole discretion, to suspend, restrict, terminate, or permanently remove any Vendor account for violations of these Terms, marketplace policies, legal requirements, or actions deemed harmful to the Platform, customers, or other vendors.

Limitation of Liability

VENDORAR provides an online marketplace platform connecting buyers and sellers.

Unless otherwise required by applicable law, VENDORAR shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from Vendor activities, transactions, products, services, or use of the Platform.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

Any revised Terms shall become effective upon publication on the Platform. Continued use of the Vendor Services following such publication constitutes acceptance of the updated Terms.
